1. Agreement to Terms

These Terms of Service ("Terms") are entered into between Helvornis Engineering Ltd, a company registered in Canada with VAT number 829503714 RT 0001 (hereinafter "Company," "we," "us," or "our"), and you, the user or customer (hereinafter "you," "your," or "Customer"). By accessing or using our website, products, services, or entering into any business relationship with us, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must immediately cease use of our services and website.

2. Services Description

Helvornis Engineering Ltd provides precision mining automation solutions and related engineering services for industrial operations in Western Canada. Our services include but are not limited to: equipment design, system integration, automated solutions, technical consultation, maintenance, and support services as described on our website and in contracted agreements.

3. Eligibility and User Responsibilities

You represent and warrant that: (a) you are at least 18 years of age or the legal age of majority in your jurisdiction; (b) you have the legal authority to enter into binding agreements; (c) you are not prohibited by law from using our services; (d) all information you provide is accurate, current, and complete; and (e) your use of our services complies with all applicable laws and regulations in your jurisdiction and ours.

4. Intellectual Property Rights

All content on our website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, and software, is the exclusive property of Helvornis Engineering Ltd or our content suppliers and is protected by Canadian and international copyright laws. You are granted a limited, non-exclusive, non-transferable license to view, download, and print materials for your personal, non-commercial use only. Unauthorized reproduction, modification, distribution, or transmission of any content is strictly prohibited without our prior written consent.

5. Limitation of Liability

To the fullest extent permitted by law, Helvornis Engineering Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenues, lost data, business interruption, or cost of substitute goods or services, even if advised of the possibility of such damages. Our total liability for any claim arising from or related to these Terms or our services shall not exceed the amount paid by you for the services in question during the twelve (12) months preceding the claim.

We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and title. 10. Payment Terms and Conditions

All fees and charges are stated in Canadian dollars unless otherwise specified. Payment terms, invoice due dates, and accepted payment methods will be outlined in individual service agreements or invoices. Late payments may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. We reserve the right to suspend services if payment is not received by the due date.

11. Termination and Cancellation

We reserve the right to terminate or suspend your access to our services immediately and without notice if you violate these Terms, engage in illegal activity, or pose a risk to our business or other users. You may terminate your relationship with us by providing written notice to tech@helvornis.bond. Termination does not relieve you of any outstanding payment obligations.

12. Data Protection and Privacy

Your use of our website and services is also governed by our Privacy Policy. We are committed to protecting your personal data in accordance with Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA). Any disputes arising from or related to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Edmonton, Alberta. Both parties waive any right to trial by jury and agree to submit to binding arbitration if required by law.

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements explicitly referenced herein, constitute the entire agreement between you and Helvornis Engineering Ltd regarding your use of our services and website. These Terms supersede any prior agreements, understandings, negotiations, and discussions, whether written or oral, relating to the subject matter hereof.

20. Waiver

The failure of Helvornis Engineering Ltd to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these Terms must be in writing and signed by an authorized representative of the Company to be valid and binding.

21. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of Helvornis Engineering Ltd. Any unauthorized assignment shall be void. Helvornis Engineering Ltd may assign its rights or obligations under these Terms to any third party without your consent, provided that such assignment does not materially adversely affect your rights or increase your obligations.
